  ABOUT OUR COMPANY
  Company Background

PT Rig Tenders Indonesia Tbk. ("Company") is principally engaged in the chartering of supply vessels and accommodation/work barges to support offshore oil and gas companies. These Companies are mainly in the production and exploration activities including placement, installation, maintenance and substitution service for offshore installation, pipes-laying and single buoy mooring, salvage operation service, management consultation for offshore activities, shipping and agency services. The Company also charters tugs and barges to transport coal and other bulk aggregates.

The Company was founded by Mr. Boedihardjo Sastrohadiwirjo and Rig Tenders Inc. In 1984, Chuan Hup Holdings Limited ("CH") acquired a substantial stake of approximately 50% of the total paid up and issued share capital of the Company from Crowley International Inc. On 28 October 1989, the Company undertook a public offering of 15 million ordinary shares of Rp 1,000 each in the Company, of which 5 million new ordinary shares of Rp 1,000 were issued to existing shareholders of the Company and 10 million ordinary shares of Rp 1,000 each were offered to the public. The Company was subsequently listed on the Jakarta Stock Exchange and Surabaya Stock Exchange on 5 March 1990.

On 30 September 2005, all shares owned by CH amounting to 298,905,500 shares or 49.07% were transferred to Scomi Marine Services Pte. Ltd. ("IMS"), a wholly owned subsidiary of Scomi Marine Berhad ("SMB"). In accordance with Bapepam regulation, IMS is obliged to make a Tender Offer for the remaining shares. With the completion of Tender Offer, IMS holds 490,297,000 shares or 80.54% of the total issued shares of the Company

IMS was incorporated in Singapore on 27 July 2005. The principal business activities of IMS are marine vessel transportation and investment. SMB is a public listed company listed on the main board of the Malaysian Stock Exchange. SMB's principal activities are Investment Holding, Marine Logistic Services and Offshore Support Services.

The Company is domiciled in Jakarta with the registered office at Wisma Rig Tenders, Jalan Dr. Saharjo No. 129, Jakarta 12860. The Company has branch offices in Banjarmasin, Kotabaru and Balikpapan. The Company's list of clientele for offshore activities cover all major offshore oil companies in Indonesia including British Petroleum PLC, China National Offshore Oil Corporation (CNOOC), Chevron Indonesia Company (formerly known as Unocal Corporation), ConocoPhilips Limited and Total E&P Indonesie, whilst for the coal transportation business, its main customer is PT Adaro Indonesia and PT Arutmin.

On 25 July 2006, the shareholders of the Company approved the purchase of 27 vessels from the affiliated company namely PT Batuah Abadi Lines, Goldship Private Limited and CH Logistics Pte. Ltd.

Currently, the Company owns and operates 65 vessels which consist of 16 Supply Vessels, 1 Carriers, 25 Tug Boats, 2 accommodation/work Barges, 14 Flat Top Barges, and 7 Self Discharging Barges. There are a total of 657 (six hundred fifty seven) employees including 205 (two hundred five) contractual employees in 2006.

The Company has obtained the ISO 9002 accreditation by AJA EQS since 1998 for the management of all transportation and has achieved certification of the latest internationally recognized standard of ISO 9001:2000. The Company has obtained the Document of Compliance (DOC) Certificate from Panama and from authorized institution of Indonesia as required by IMO (International Maritime Organization).

We have established a set of in internal guidelines to meet the requirements of the International Safety Management Code. Our offshore support vessels and coal transportation are inspected on a regular basis to be in compliance with the requirements of the ISM Code and other applicable national and international regulations.
